Welcome to PharmaEdge Inc. (“PharmaEdge,” “We,” “Us,” or “Our”). We are a technology-driven consulting company that leverages AI to optimize research efficiency and deliver actionable insights to the pharmaceutical industry. These Terms of Use (“Terms”) govern your access to and use of PharmaEdge’s proprietary platforms, including:

1PharmaStack: Pharma Insights Command Center and its modules including but not limited to:- real-time news monitoring, clinical landscapes, epidemiology, deep research, conference coverage, etc.
1CongStack: AI-enabled solution for efficient planning, collaboration, analysis and interpretation of medical conferences and scientific data presented therein.

By accessing or using our platforms, services, content, or data (collectively, “Services”), you agree to these Terms.

License and Authorized Use

Subject to these Terms, PharmaEdge grants you a limited, non-exclusive, nontransferable, non-sublicensable license to access and use the Services strictly for your internal business purposes. Access is restricted to your designated employees or authorized users (“Authorized Users”). Unauthorized sharing of login credentials or platform access is strictly prohibited.

You may not:

Reproduce, distribute, publish, or share PharmaEdge content externally.
Use Services or outputs to train AI models, large language models, or similar technologies, unless expressly permitted in writing by PharmaEdge.
Reverse engineer, decompile, or attempt to derive source code.
Use Services to develop competing products or tools.
Scrape, extract, or mine PharmaEdge data or outputs.
Programmatically access Services unless explicitly permitted via PharmaEdge APIs.
Use AI outputs as a replacement for regulatory filings, clinical recommendations, or investment decisions.

PharmaEdge reserves all rights not expressly granted.

Ownership and Intellectual Property

All intellectual property, software, reports, analysis, visualizations, AI-generated outputs, and underlying technology within PharmaEdge’s platforms remain the exclusive property of PharmaEdge or its licensors.

You retain ownership of proprietary data you upload.
Any feedback, suggestions, or ideas provided to PharmaEdge may be used freely to enhance our Services.
Derived works created using PharmaEdge data or outputs are permitted solely for your internal analysis. You may not commercialize, redistribute, reverseengineer, or use such works to replicate PharmaEdge functionality or develop competing solutions

AI-Generated Content Disclaimer

PharmaEdge leverages advanced AI models to enhance research efficiency. You acknowledge that:

AI-generated outputs may occasionally contain inaccuracies or incomplete information.
Such outputs are informational and should be validated using original sources.
Our Services do not constitute medical, legal, regulatory, or financial advice. You are responsible for verifying insights before relying on them for business-critical decisions.

Confidentiality

Each party agrees to protect the other party’s non-public, confidential information with reasonable care. This includes:

Platform data, outputs, and internal research methodologies.
Customer proprietary information shared during onboarding or platform use.

Exclusions apply to information that is publicly known, lawfully obtained from third parties, or independently developed.

Security and User Responsibilities

You are responsible for maintaining the confidentiality of your Authorized Users’ credentials and ensuring platform access is only used as permitted. Notify PharmaEdge immediately of any unauthorized access or security incidents.

PharmaEdge implements industry best practices to secure the Services but does not guarantee complete protection against cyber threats.

Fees and Payment (if applicable)

Where applicable, Services are subject to fees outlined in your Order Form or agreement with PharmaEdge. Unless otherwise agreed:

Fees are payable in advance as described in a defined schedule as per the signed agreement / SoW.
Late payments may result in service suspension.
All fees exclude applicable taxes, which are your responsibility

Termination

PharmaEdge may terminate or suspend your access:

For breach of these Terms, with 30 days’ notice if uncured.
Immediately for misuse of Services, security violations, or legal requirements.

Upon termination:

Access to Services ceases.
You must delete all downloaded or derived PharmaEdge content, except for your uploaded data.

Indemnification

You agree to indemnify PharmaEdge against claims, damages, or losses arising from:

Your misuse of the Services.
Breach of these Terms.
Violation of third-party rights through your use of the Services.

PharmaEdge will indemnify you for claims alleging that our Services infringe valid thirdparty intellectual property rights, provided such claims do not result from unauthorized modifications or misuse.

Limitation of Liability

To the maximum extent permitted by law:

PharmaEdge’s liability is capped at amounts paid by you in the 12 months preceding a claim.
PharmaEdge is not liable for indirect, consequential, or punitive damages.
You remain solely responsible for reliance on AI outputs or third-party data.

General Provisions

Assignment: You may not transfer rights under these Terms without PharmaEdge’s prior written consent.
Force Majeure: PharmaEdge is not liable for delays due to events beyond its control.
Entire Agreement: These Terms constitute the entire agreement regarding your use of PharmaEdge Services.
Severability: If any provision is deemed unenforceable, remaining terms remain in effect.
